Terms and conditions of use of materials

We, Freshfields Bruckhaus Deringer LLP, provide information on this Bribery Watch Extranet (‘the Extranet’).  Access to the Extranet is provided on the basis of the Terms and Conditions of Use set out below.  Please read these Terms and Conditions of Use carefully before accessing any part of the Extranet:

  1. INTRODUCTION
    1. By accessing any part of the Extranet, you shall be deemed to have accepted the Terms and Conditions of Use in full. If you do not accept the Terms and Conditions of Use in full, you must not use the Extranet and must leave this website immediate.
    2. Freshfields Bruckhaus Deringer LLP, its affiliated firms, entities and related undertakings (‘Freshfields’) may revise the Terms and Conditions of Use at any time by updating this page. You must review the current Terms and Conditions of Use at the time of each use of the Extranet, as any changes are binding on you.
  2. LICENCE
    1. You are permitted to print and download extracts from the Extranet, (and to circulate such extracts to your colleagues) for your own use and that of the company you represent. You agree not to otherwise modify, reproduce, copy, distribute, disclose to third parties or derive commercial use or benefit from the Extranet, use or benefit from the Extranet without our prior written consent.
    2. All copyright, trade marks and other intellectual property in or arising out of the Extranet vest solely in Freshfields or its licensors.
    3. You agree not to use or permit the use of the materials on the Extranet in such a manner as would bring Freshfields into disrepute.
    4. If you breach any of the Terms and Conditions of Use, your permission to use the Extranet will automatically terminate.
    5. Subject to clause 2.1 above, no part of the Extranet may be reproduced or stored on any other website or included in any public or private electronic retrieval system or servers without Freshfields’ prior written permission.
    6. Any rights not expressly granted in these Terms and Conditions of Use are reserved.
  3. SERVICE ACCESS
    1. While Freshfields endeavours to ensure that the Extranet is normally available 24 hours a days, it shall not be liable if, for any reason, the Extranet or any part of it or the materials therein are unavailable at any time or for any period.
  4. ACCESS TO EXTRANET
    1. You acknowledge and agree that access to the Extranet may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons beyond Freshfields’ control or at Freshfields’ sole discretion.
    2. Freshfields shall cooperate with any law enforcement authorities or court order requesting or directing it to disclose the identity or to locate anyone posting any material in breach of clause 4.3.
    3. You shall fully indemnify Freshfields for any loss or damage suffered by it for breach of clause 4.3.
  5. LINKS TO AND FROM OTHER WEBSITES
    1. Links to third party websites are provided solely for your convenience. If you use these links, you leave the Extranet. Freshfields does not keep these third party website under continuous review, and does not control and is not responsible for these third party websites or their content or availability. Freshfields therefore does not endorse or make any representations about them, or any material found there, or any results that may be obtained from using them. If you decide to access any of the third party websites linked to the Extranet website, you do so at your own risk.
  6. REGISTRATION
    1. Each registration is for a specified number of users only. Freshfields does not permit you to share your user name and password, or any other means of accessing the Extranet with any other person.
    2. The responsibility of the security of any passwords or any other means of access rests with you.
    3. If you breach any of the Terms and Conditions of Use, Freshfields may revoke your user name and password, or any other means of accessing the Extranet at any time without notice.
  7. DISCLAIMER
    1. The Extranet and the materials contained within it are for general information only and are not intended to provide, nor should it be construed as providing legal advice.
    2. While Freshfields endeavours to ensure that the information on the tool is correct, Freshfields does not warrant the accuracy and completeness of the material on the Extranet. Freshfields may make changes to the material on the Extranet at any time, without notice. Freshfields cannot guarantee that the material on the Extranet will not, at any given time, be out of date.
    3. The material on the Extranet is provided ‘as is’, without any conditions, warranties or any other terms of any kind. Freshfields does not accept responsibility or liability for any amount or kind of loss or damage that users or any third parties may incur in relation to the use of the tool or of the Extranet or the materials contained within it, including without limitation, any direct, indirect, punitive or consequential loss or damages, or any loss of income, profits, goodwill, data, contracts, use of money, or loss or damages arising from or connected in any way to business interruption, or whether in tort (including without limitation negligence), contract or otherwise, in connection with the Extranet in any way or in connection with the use, inability to use or the results of use of the Extranet, any websites linked to the Extranet or the material on such a website, including but not limited to loss or damage due to viruses that may infect your computer equipment, software, data or other property on account of your access to, use of, or browsing the Extranet or your downloading of any material from the Extranet or any websites linked to the Extranet.
    2. Nothing in these Terms and Conditions of Use shall operate to exclude or restrict liability based on fraud or reckless disregard of professional obligations or any liability that cannot be excluded or restricted by applicable laws or regulations.
  9. GOVERNING LAW AND JURISDICTION
    1. The Legal Notice and these Terms and Conditions of Use shall be governed by and construed in accordance with the laws of England and Wales. Disputes arising in connection with the Legal Notice and these Terms and Conditions of Use shall be subject to the exclusive jurisdiction of the English courts.
